By accessing or using our Services, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Services.

1. Eligibility

You must be at least 18 years old and capable of forming a binding contract to use the Services. By using the Services, you represent and warrant that you meet these requirements.

You may not use the Services if you are located in, or a citizen or resident of, any jurisdiction where the use of cryptocurrencies or our Services would be illegal or otherwise violate any applicable law. You are solely responsible for ensuring your use of the Services complies with all applicable laws in your jurisdiction.

2. Description of Services

every.meme provides a platform for users to create, launch, and trade tokens on the Solana blockchain. The Services include token creation tools, bonding curve mechanics for initial token distribution, and integration with decentralized exchanges for token trading.

We do not provide custody services. You are solely responsible for managing your own wallet, private keys, and any tokens you create or acquire through the Services.

3. Wallet Connection

To use certain features of the Services, you must connect a compatible cryptocurrency wallet. You are solely responsible for maintaining the security of your wallet and private keys. We have no access to or control over your wallet or private keys.

You acknowledge that blockchain transactions are irreversible. We are not responsible for any loss of funds resulting from user error, wallet compromise, or any other cause.

4. Token Creation and User Content

When creating tokens on our platform, you retain ownership of any content you provide (names, symbols, images, descriptions). By submitting content, you grant us a non-exclusive, worldwide, royalty-free license to use, display, and distribute such content in connection with the Services.

You agree not to create tokens or submit content that:

• Infringes on any intellectual property rights of third parties
• Impersonates or misrepresents affiliation with any person or entity
• Contains false, misleading, or deceptive information
• Promotes illegal activities or violates any applicable laws
• Contains malicious code, viruses, or harmful content
• Is obscene, defamatory, threatening, or harassing
• Exploits or harms minors in any way

We reserve the right to remove any content or tokens that violate these Terms or that we determine, in our sole discretion, to be harmful to users or the platform.

5. Fees

The Services may involve various fees, including trading fees and blockchain network fees. All applicable fees will be displayed before you confirm any transaction. Fees are non-refundable unless otherwise specified.

Token Creation: Our platform does not charge any fees for token creation. You only pay the Solana network fees for account initialization and pool creation, which go directly to the blockchain validators.

Creator Rewards: We share the majority of all trading fees with token creators. Creator rewards accrue automatically and can be claimed through the platform. The availability and timing of creator rewards are subject to platform functionality and may be modified at our discretion.

Blockchain network fees are determined by the Solana network and are not controlled by us.

6. Risks

You acknowledge and accept the following risks associated with using the Services:

• Volatility: Cryptocurrency and token prices are highly volatile. You may lose some or all of your investment.
• Regulatory Risk: The regulatory status of cryptocurrencies and tokens varies by jurisdiction and may change at any time.
• Technical Risk: Smart contracts and blockchain technology may contain bugs, vulnerabilities, or other issues that could result in loss of funds.
• Market Risk: Tokens created on the platform may have no value or liquidity.
• Third-Party Risk: We integrate with third-party services and protocols that we do not control.

7. EveryMeme™ Trading Cards

EveryMeme™ Trading Cards are physical collectible products offered through our Services. By purchasing or acquiring EveryMeme™ Trading Cards, you acknowledge and agree to the following:

• No Monetary Value: EveryMeme™ Trading Cards hold no inherent monetary, financial, or investment value. They are not securities, commodities, currencies, or any form of financial instrument.
• Entertainment Purposes Only: EveryMeme™ Trading Cards are intended solely for entertainment, collectible, and personal enjoyment purposes. They should not be purchased with any expectation of profit, appreciation, or financial return.
• No Guarantee of Rarity: We make no representations, warranties, or guarantees regarding the rarity, scarcity, collectibility, or future value of any EveryMeme™ Trading Card. Print runs, editions, and availability are determined at our sole discretion and may change without notice.
• No Resale Market Guarantee: We do not guarantee the existence, availability, or functionality of any secondary market for EveryMeme™ Trading Cards. Any resale transactions are conducted at your own risk.
• Physical Product: EveryMeme™ Trading Cards are physical products subject to normal wear and conditions of physical goods. We are not responsible for damage occurring after delivery.

All sales of EveryMeme™ Trading Cards are final. Refunds may be provided at our sole discretion in accordance with applicable consumer protection laws.

8. No Financial Advice

Nothing on this platform constitutes financial, investment, legal, or tax advice. The information provided is for informational purposes only. You should consult with qualified professionals before making any financial decisions.

We do not endorse, recommend, or make any representations about any tokens created or traded on the platform. The presence of a token on our platform does not indicate our approval or endorsement.

9. Prohibited Activities

You agree not to:

• Use the Services for any illegal purpose or in violation of any laws
• Engage in market manipulation, wash trading, or other deceptive practices
• Attempt to interfere with, compromise, or disrupt the Services
• Use bots, scripts, or automated tools except as explicitly permitted
• Circumvent any access controls or security measures
• Collect or harvest user data without authorization
• Use the Services to launder money or finance terrorism

The Services, including all content, features, and functionality, are owned by us and are protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or create derivative works based on our Services without our express written permission.

WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE. WE ARE NOT RESPONSIBLE FOR ANY LOSS OR DAMAGE ARISING FROM YOUR USE OF THE SERVICES.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR USE, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES.

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM YOUR USE OF THE SERVICES SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN FEES DURING THE TWELVE MONTHS PRECEDING THE CLAIM, OR (B) $100 USD.

13. Indemnification

You agree to indemnify, defend, and hold harmless every.meme and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Services, your violation of these Terms, or your violation of any rights of a third party.

14. Modifications to Services and Terms

We reserve the right to modify, suspend, or discontinue the Services at any time without notice. We also reserve the right to modify these Terms at any time. We will notify users of material changes by updating the "Last Updated" date at the top of these Terms.

Your continued use of the Services after any changes to these Terms constitutes your acceptance of the revised Terms.

15. Termination

We may terminate or suspend your access to the Services at any time, with or without cause, and with or without notice. Upon termination, your right to use the Services will immediately cease.

Any tokens you have created or acquired through the Services will remain on the blockchain and are not affected by termination of your access to our platform.

16. Governing Law and Disputes

These Terms shall be governed by and construed in accordance with applicable laws, without regard to conflict of law principles. Any disputes arising from these Terms or your use of the Services shall be resolved through binding arbitration, except where prohibited by law.

17. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
